Statutory requirements

Every Company must have at least two representatives :

The Director

The Director is responsible towards the Company and must fulfil the legal obligations set out in the Companies Acts and other relevant legislation.

He or she does not have to be a British resident and does not have to be a British citizen.

The Secretary

Your Company must have a Secretary. The Secretary is responsible, with the Directors, for keeping the Company's registers and minutes and for filing information at Companies House such as end of year accounts etc...

One year after the incorporation of your Company, an Annual Return must be completed, signed and returned to Companies House along with a cheque for £15. It must be returned within 28 days of the date of incorporation of your Company. No penalty will be incurred if you return your Annual Return late, but should this happen; the Registrar of Companies reserves the right to strike off your Company.
